Introduction

Welcome to VisCool. These Terms of Service (“Terms”) govern your access to and use of the VisCool educational management platform, including all associated services, features, and content (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

Please read these Terms carefully before using our Platform. If you do not agree to these Terms, you may not access or use the Platform.

1. Description of Service

VisCool provides a comprehensive educational management platform that includes curriculum management, student information systems, learning management, assessment tools, analytics, and administrative automation. The Platform is designed for educational institutions, educators, students, and administrators.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with reasonable notice provided to active subscribers.

2. User Accounts

To access the Platform, you must create an account or be provisioned one by your institution. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

Account types include:

• Administrator accounts: Full platform management capabilities
• Educator accounts: Teaching, grading, and content management tools
• Student accounts: Learning, submission, and portfolio tools
• Parent/Guardian accounts: Monitoring and communication access

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3. Acceptable Use

You agree to use the Platform only for lawful educational purposes and in compliance with these Terms. You may NOT:

• Share your login credentials with unauthorized parties
• Attempt to access accounts, systems, or data that you are not authorized to access
• Upload malicious software, viruses, or harmful code
• Interfere with or disrupt the Platform’s infrastructure or other users’ access
• Use the Platform for any commercial purpose outside of your educational role
• Scrape, crawl, or use automated tools to extract data from the Platform
• Reproduce, duplicate, or resell any part of the Platform without prior written consent
• Use the Platform in any way that violates applicable laws or regulations

4. Intellectual Property

The Platform, including all software, designs, text, graphics, and other content created by VisCool, is the intellectual property of VisCool Ltd. and is protected by copyright, trademark, and other intellectual property laws.

Content created by users (lesson plans, assessments, educational materials) remains the intellectual property of the respective creators. By uploading content to the Platform, you grant VisCool a limited, non-exclusive license to host, store, and display that content solely for the purpose of providing the Platform services.

5. Payment Terms

If you subscribe to a paid plan, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.

• All fees are exclusive of applicable taxes
• We reserve the right to change pricing with 60 days’ advance notice
• Refunds are available within 30 days of initial subscription for annual plans
• Failure to pay may result in suspension or termination of access
• Volume pricing and enterprise agreements are subject to separate terms

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

For institutions, additional data processing terms are outlined in our Data Processing Agreement (DPA), available upon request.

7. Limitation of Liability

To the maximum extent permitted by law, VisCool shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or profits, arising from your use of or inability to use the Platform.

Our total liability for any claims related to the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless VisCool, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

9. Termination

Either party may terminate the service agreement with 30 days’ written notice. VisCool may immediately terminate or suspend access for violation of these Terms.

Upon termination:

• Your access to the Platform will be revoked
• You may request an export of your data within 30 days
• VisCool will delete your data in accordance with our data retention policy
• Any outstanding fees remain due and payable

10. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email and platform notifications at least 30 days before the changes take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Platform and contact us to terminate your account.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VisCool Ltd. is incorporated, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
